Business Re-registration Deadline

The Financial Services Commission issued a public notice on November 9th 2023 to remind all businesses of the obligation to re-register with the Belize Companies and Corporate Affairs Registry (BCCAR).

In 2022, re-registration became mandatory after the Belize Companies Act 2022 was enacted. This applied to all existing businesses who had been registered at the BCCAR before, requiring them to re-register. The new Companies Act came into force on the 28th of November 2022, which gave effect to Section 313(10) of the Act:

“A company that immediately prior to the commencement of this Act was registered with the Companies Act or the International Business Companies Act shall have 12 months from the commencement of this Act within which to comply with the requirements of this Act”

In basic terms, when the Companies Act was brought into force on November 28th 2022, all businesses fell off the registry and have a year to re-register. That deadline is now November 28th 2023.

Businesses are reminded that it is against the law to operate a business that is not registered with the BCCAR or the Belize Tax Services Department.
